RLL DATA BREACH FILING

    ResnickLaw LLC has recently commenced proceedings in the United States District Court for the District of Massachusetts on behalf of a client, arising out of a data breach occurring on the servers of a national renowned data web hosting company.  Representing the plaintiff, RLL anticipates that this multi-million dollar litigation will require rulings by the USDC on some of the cutting edge issues associated with data security on the internet, including the extent to which undisclosed and faulty systems architecture which subsequently results in compromised client data can be deemed to constitute a material breach of a data hosting contract, the extent to which injury to a service provider’s clients arising from a data breach supports equitable indemnification notwithstanding a contractual relationship which does not include the injured client, and the extent to which a party injured by the compromise of its data can compel disclosure of systems architecture decisions when privacy protection is federally mandated by HIPPA.  The action will involve multiple parties and span a ten year hosting relationship, and will include legal issues associated with the hiring of outside investigators to explore the specifics of the breach.

CORPORATE GOVERNANCE DISPUTE RESOLVED

    RLL  recently settled a corporate governance dispute for a facility pharmacy client, which involved allegations by a group of Members of the client’s Board of Managers that other Members of the Board with operational responsibilities had mismanaged the company’s operations.  The mismanagement involved complex regulatory and operational issues, and sophisticated information technology issues to both ascertain the underlying facts, and to assess their legal impact.  RLL, working with co-counsel and opposing counsel, was able to craft a business solution which resolved the associated litigation, apportioned responsibility for the corporate losses between potentially responsible parties, and ultimately enabled the company to be sold.

NETSUITE IT IMPLEMENTATION ACTION COMMENCED

    RLL commenced an action in state court in Massachusetts on behalf of an IT consulting client that implemented a NetSuite IT solution for a customer in Latin America.  The contract implementation encountered difficulties which required additional work outside the initial contract estimates, and the client customer ultimately declined to pay associated invoices.  Although the customer plead a counterclaim, skillful discovery work caused it to withdraw the claim entirely within a few months.  The case is likely to set precedent around breach of contract involving use of technology based pretexts for breaching IT consulting contracts.
